This document will serve as a Mutual Non-Circumvention and Non-Disclosure
Agreement,as well as Commission Protection Agreement between those signing parties.

This agreement is between one party and another and, in the case of there being more than two parties, applies equally to all parties. The undersigned parties,together with their heirs, successors, assigns, associates, corporation and employees, intending to be legally bound, hereby irrevocably agree to not circumvent, avoid,bypass or obviate each other, directly or indirectly, to avoid payment of fees or commissions in any transaction with any partnership, government, corporation, entity or individual revealed by either party to the other in connection with any project considered, discussed, or contemplated, whether or not consummated by the undersigned parties.All information about such project which is not knowledge in the public domain, together with the names of contacts, customers, buyers, sellers, agents, representatives, bank information, prices, volumes, terms and specifications shall belong to the introducing party for the mutual benefit of the parties.
The parties agree to not disclose to any third party any of this information without the written consent of the introducing party.
This agreement shall exist until terminated by either party giving to the other month's notice, but the provisions of this agreement shall remain in force for five years after such termination, on any commissions due to a party during the term of this agreement shall not be affected by the termination of this agreement.
All disputes arising out of this agreement shall be referred to and be determined by a recognised arbitration board based in the country that has jurisdiction over the dispute as outlined in the Non-Circumvention and Non-Disclosure Terms and Conditions as stated in Standard ICC Publication 400/500.
